These terms govern your use of the NOVA Labs website and, unless a signed agreement says otherwise, our services. By using either, you accept them.
1. What the service is
NOVA collects documents that companies have filed with government authorities and other lawfully public sources, applies a fixed set of cross-checks to them, and reports where those documents do not agree with each other. Each finding cites its source.
2. What a finding means — and does not mean
A mismatch is an observation that two documents a company filed itself are inconsistent. It is a statement about those documents. It is not an allegation of fraud, misconduct, insolvency or illegality, and it is not a rating, credit opinion, investment recommendation, legal advice or an audit opinion. Explanations may exist that the filings do not show. You are responsible for how you interpret and act on our reports.
3. Accuracy of sources
We reproduce and analyse third-party records faithfully but cannot warrant that a source is itself complete, accurate or current, or that an authority has published everything a company filed. Where a source is corrected, our records follow.
4. Acceptable use
You may use our reports for your own business decisions, including sharing them with your advisers, auditors and, where relevant, the supplier concerned. You may not resell, republish or redistribute our reports as a data product, use them to harass or defame any company or person, scrape or reverse-engineer the platform, circumvent access controls or usage limits, or use the service in breach of applicable law, including sanctions and data protection law.
5. Free checks
Free checks are offered at our discretion, for evaluation, without service levels or warranty, and may be limited or withdrawn. We will not contact the suppliers you name.
6. Fees
Paid subscriptions are governed by the order form or agreement you sign, which sets scope, term, fees and renewal. Fees are exclusive of taxes unless stated. Overdue amounts may attract interest and suspension of access.
7. Intellectual property
The platform, the check library, our methodology and the presentation of our reports remain our property. You receive a non-exclusive, non-transferable licence to use the reports internally for the purposes above. Underlying public documents remain the property of their respective sources.
8. Confidentiality
We treat the identity of the suppliers you ask about, and your use of the service, as confidential. We do not disclose your enquiries to the companies concerned or to other customers.
9. Warranties and liability
The service is provided with reasonable skill and care but without other warranties, express or implied, including fitness for a particular purpose. To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, revenue, contracts or goodwill, and our total aggregate liability is limited to the fees you paid us in the twelve months before the claim, or to INR 25,000 where no fees were paid. Nothing here limits liability that cannot lawfully be limited.
10. Suspension and termination
Either party may terminate for material breach not cured within 30 days. We may suspend access immediately for a breach of clause 4 or a security risk. Provisions that by their nature should survive, do.
11. Privacy
Our handling of personal information is described in our Privacy Policy, which forms part of these terms.
12. Changes
We may update these terms; the date above will change and material changes will be notified to customers. Continued use constitutes acceptance.
13. Governing law
These terms are governed by the laws of India, and the courts at Bengaluru have exclusive jurisdiction, without prejudice to either party seeking urgent injunctive relief elsewhere. A signed enterprise agreement may specify a different forum.
